Item 5.02						Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 31, 2022, eHealth, Inc. (the “Company”) terminated the employment of the Company’s chief revenue officer, Timothy C. Hannan, and removed him as an officer of the Company and from all of his positions at the Company’s wholly-owned subsidiaries, effective January 31, 2022. In connection with his departure, Mr. Hannan did not express any disagreement on any matter relating to the Company’s operations, policies or practices. The Company has appointed Robert S. Hurley as interim chief revenue officer of the Company effective February 1, 2022. Mr. Hurley previously served as an executive officer of the Company for over 20 years until his retirement in March 2020. The Company believes it will benefit greatly from Mr. Hurley’s services during this transition period.
