On December 31, 2025, Eightco Holdings Inc. (the “Company”) issued a press release (the “Press Release”) providing an update on the Company’s operations and announcing the release of its year-end Chairman’s Message regarding the Company’s business and operations. A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
