Explanatory Note

This Amendment No. 2 to the Current Report on Form 8-K (this “Amendment”) amends Item 5.02 of Enbridge Inc.’s (“Enbridge” or the “Corporation”) Current Report on Form 8-K filed on May 8, 2023 (the “Original Form 8-K”), as amended by Amendment No. 1 to the Original Form 8-K filed on August 4, 2023 (“Amendment No. 1”). This Amendment No. 2 should be read in conjunction with the Original Form 8-K and Amendment No. 1. Except as set forth below, the Original Form 8-K, as amended by Amendment No. 1, remains unchanged.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On October 18, 2023, Enbridge and Patrick R. Murray entered into an employment agreement, effective as of July 1, 2023, memorializing the terms of Mr. Murray’s employment as Executive Vice President & Chief Financial Officer (the “Employment Agreement”). The Employment Agreement is in substantially the form of the Form of Executive Employment Agreement (2017) previously filed as Exhibit 10.4 to the Company’s Annual Report on Form 10-K filed February 16, 2018.
