Item 8.01.

Other Events.

Postponement of Extraordinary General Meeting

As previously announced, Energem Corp. (“Energem”) planned to hold an Extraordinary General Meeting of Shareholders on November 11, 2022 at 9:00 a.m. Eastern Time (the “Extraordinary General Meeting”) to consider the previously announced proposed amendment (the “Extension Amendment”) to its amended and restated memorandum and articles of association along with a proposed amendment to the investment management trust agreement governing the trust account (the “Trust Amendment”).

Before the commencement of the Extraordinary General Meeting on November 11, 2022, the disinterested members of Energem’s Board of Directors unanimously determined it in the best of the Company to reschedule the Extraordinary General Meeting for five calendar days to November 16, 2022 at 9:00 a.m. Eastern Time.

Also as previously announced, as originally proposed, the Extension Amendment provided for a deposit into the Trust Account of an additional $0.0333 per unit for each month extended for up to nine one-month extensions to the date by which Energem must complete its initial business combination (the “Extended Date”), at Energem’s option.

As revised, the Extension Amendment would increase the amount that must be deposited in the Trust Account by Energem each month that it exercises the extension by an additional $0.045 per unit for each month extended. The Extended Date remains the same as proposed in the Extension Proposal.

All Shareholders are invited to attend the Extraordinary General Meeting to approve the Extension Amendment and Trust Amendment at 9:00 a.m. Eastern Time on November 16, 2022 at Energem Corp’s offices or virtually by visiting https://www.cstproxy.com/energemcorp/2022.

Votes will be accepted up to and during the new date of the Extraordinary General Meeting.
