Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Effective May 16, 2025, David R. Wells ceased serving as Chief Financial Officer of Envoy Medical, Inc. (the “Company”). The separation was without cause, and Mr. Wells will be entitled to separation compensation pursuant to the terms of the Employment Agreement, dated as of August 15, 2023, between the Company and Mr. Wells (the “Employment Agreement”).
The Company’s Chief Executive Officer, Brent T. Lucas, will serve as principal financial officer on an interim basis until a successor Chief Financial Officer is appointed.
