Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On July 18, 2025, Mr. Ben Xiang resigned from the Board of Directors (the “Board”) of ePlus inc. (the “Company”), effective immediately. Mr. Xiang indicated that his resignation from the Board was to focus on new career opportunities.
