On May 21, 2025, Equillium, Inc. (the “Company”) held its 2025 Annual Meeting of Stockholders (the “Annual Meeting”). As described in Item 5.07 of this Current Report on Form 8-K (the “Report”), at the Annual Meeting, the Company’s stockholders approved an amendment to the Company’s 2018 Equity Incentive Plan (the “2018 Plan” and the 2018 Plan, as amended, the “2018 Amended Plan”) to, among other things, increase the number of shares of common stock authorized for issuance under the 2018 Plan by 1,781,000 shares. The 2018 Amended Plan was previously approved, subject to stockholder approval, by the Company’s Board of Directors on March 26, 2025. A summary of the principal features of the 2018 Amended Plan are set forth under the heading “Proposal No. 4-Approval of Amendment to the Company’s 2018 Equity Incentive Plan” contained in the Company’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on April 10, 2025, as revised April 30, 2025 (the “2025 Proxy Statement”). Submission of Matters to a Vote of Security Holders. |
As of April 1, 2025, the record date for the Annual Meeting (the “Record Date”), 35,719,317 shares of the Company’s common stock were outstanding and entitled to vote at the Annual Meeting. A summary of the matters voted upon by stockholders at the Annual Meeting is set forth below.
A total of 27,708,269 shares of the Company’s common stock were present at the Annual Meeting or represented by proxy, which represents approximately 77.6% of the shares of the Company’s common stock outstanding as of the Record Date.
Proposal 1. Election of directors.
The Company’s stockholders elected the three persons listed below as Class I directors, each to serve until the Company’s 2028 Annual Meeting of Stockholders and until their respective successor has been duly elected and qualified, or until their earlier death, resignation or removal. Proposal 2. Approval of an amendment to the Company’s Amended and Restated Certificate of Incorporation to effect a reverse stock split.
The Company’s stockholders approved an amendment to the Company’s Amended and Restated Certificate of Incorporation to effect a reverse stock split of the Company’s common stock at a ratio in the range of 1-for-2 to 1-for-20, inclusive, with such ratio to be determined in the discretion of the Company’s Board of Directors and with such reverse stock split to be effected at such time and date, if at all, as determined by the Company’s Board of Directors in its sole discretion.
