On August 13, 2024, the Board of Directors of ESAB Corporation (the “Company”) authorized and approved a stock repurchase program to repurchase up to five million (5,000,000) shares of the Company’s common stock, par value $0.001 per share. Under the stock repurchase program, the Company intends to make opportunistic repurchases of its common stock from time to time on the open market, in privately negotiated transactions or as may otherwise be determined by the Company’s management in its discretion. The timing and amount of any shares repurchased will be determined by the Company’s management based on its evaluation of market conditions, applicable legal requirements and other factors.
The Company is not obligated to purchase any shares under the stock repurchase program and the program may be amended, suspended or discontinued at any time. There is no expiration date for the program.
