Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Effective March 26, 2025, Ernexa Therapeutics Inc. (formerly known as Eterna Therapeutics Inc.) (the “Company”), filed an amendment to the Company’s Restated Certificate of Incorporation, as amended with the Secretary of State of Delaware, to change the Company’s name to Ernexa Therapeutics Inc. (the “Name Change”).
Additionally, effective March 26, 2025, the Company adopted amended and restated bylaws solely to reflect the Name Change.
