As previously announced, on January 22, 2023, Evoqua Water Technologies Corp., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Xylem Inc., an Indiana corporation (“Parent”), and Fore Merger Sub, Inc., a Delaware corporation and a direct, wholly owned subsidiary of Parent (“Merger Sub”), pursuant to which Merger Sub will merge with and into the Company, with the Company continuing as the surviving corporation and as a direct, wholly owned subsidiary of Parent (the “Merger”).
On May 23, 2023, the Company announced that the Company and Parent have received all regulatory approvals required to consummate the Merger. The Company and Parent currently anticipate that the closing of the Merger will occur on or about May 24, 2023, subject to the satisfaction (or, to the extent permitted by applicable law, waiver) of the conditions set forth in the Merger Agreement that by their nature are to be satisfied at the closing of the Merger.
