Explanation of Responses:

1. The shares held following the transaction reflect a correction to a clerical error in the Form 4 filed for the March 8, 2026 RSU vesting. That filing incorrectly reported 50 shares sold under an automatic sell-to-cover instruction; the correct number of shares sold was 19.

2. The reporting person disclaims beneficial ownership of the shares held by his spouse, and this report should not be deemed an admission that the reporting person is the beneficial owner of his spouse's shares for purposes of Section 16 or for any other purpose.

3. The shares were sold pursuant to an automatic sell-to-cover instruction signed March 8, 2023 solely to cover applicable withholding taxes in connection with the vesting of RSUs.

4. Of the shares subject to the option, 20% vest on each of anniversary of the grant date of March 10, 2026 over a period of five years.

5. Each RSU represents a contingent right to receive one share of Ameresco, Inc. Class A Common Stock ("Common Stock").

6. Each RSU vests over two years with 25% vesting on each 6-month anniversary of the applicable grant date.
