1. Restricted stock units (RSUs) awarded pursuant to the MKL 2024 Equity Incentive Compensation Plan. Subject to certain conditions, 693.951 RSUs will vest on December 31, 2028, and 136.069 RSUs will vest on February 24, 2029.
