Explanation of Responses:

1. The reported transaction is an award of restricted stock units in respect of the issuer's common stock. Subject to the reporting person's continued employment with the issuer, these restricted stock units will vest ratably on February 11, 2026, February 11, 2027 and February 11, 2028.

2. Subject to the reporting person's continued employment with the issuer, the options will vest one-third annually over a three-year period beginning on the first anniversary of the grant date.
