Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 15, 2023, David Hendrickson tendered his resignation as a member of the Board of Directors (the “Board”) of Expion360 Inc., a Nevada corporation (the “Company”), effective immediately. Mr. Hendrickson’s resignation from the Board was due to his desire to pursue other business endeavors, and is not as the result of any dispute or disagreement with the Company or the Board on any matter relating to the operations, policies or practices of the Company. The Board has undertaken a process to identify and appoint a qualified successor director, and anticipates that it will complete this process promptly.
