Item 8.01. Other Events.

On July 13, 2023, Exxon Mobil Corporation and Denbury Inc. issued a joint press release announcing that they had entered into a definitive merger agreement pursuant to which Exxon Mobil Corporation would acquire Denbury Inc. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference into this Item 8.01.
