Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 26, 2025, Cynthia Booth notified First Financial Bancorp (the “Company”) of her decision to retire as a director of the Company effective at the end of her current term. Accordingly, Ms. Booth will not stand for re-election at the Company’s 2025 Annual Meeting of Shareholders to be held on May 27, 2025. Ms. Booth’s decision to retire is not the result of any disagreement with management or the Board of Directors on any matters relating to the Company’s operations or practices.
