(d) First Guaranty Bancshares, Inc. ("First Guaranty") elected Ms. Betsy K. Hood to the Board of Directors for First Guaranty on April 16, 2026. Ms. Hood has not been appointed to serve on any committees and there is no expectation that she will be appointed to any particular committee at this time. Ms. Hood is not a party to any transaction with First Guaranty or First Guaranty Bank that would require disclosure under Item 404(a) of Securities and Exchange Commission Regulation S-K.
Ms. Hood is a graduate of Southeastern Louisiana University. She has over 25 years of experience in the retail automotive industry and is Dealer Principal of Hood Automotive Group. She is President of Southern Dealers Mechanical Breakdown Insurance and currently serves on the Board of Directors of the Southeastern Lion Athletic Association and the Louisiana Children's Discovery Center.
