Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 7, 2022, Mr. Matthew J. Cox, a director of First Hawaiian, Inc. (the “Company”) and its wholly owned subsidiary, First Hawaiian Bank, notified the Company that he will not be standing for re-election at the Company’s 2022 annual meeting of stockholders. Mr. Cox’s decision not to stand for re-election was not as a result of any disagreement with the Company. Mr. Cox, who has served on the Company’s board of directors since 2016, will continue to serve as a director and as chairman of the Compensation Committee of the Company’s board of directors until his current term expires at the April 2022 annual meeting of stockholders.
