ITEM 8.01 OTHER EVENTS

On January 18, 2024, First Merchants Corporation issued a press release announcing its Board of Directors has declared a quarterly cash dividend on its 7.50% Non-Cumulative Perpetual Preferred Stock Series A, of $46.88 per share (equivalent to $0.4688 per depositary share) payable on February 15, 2024, to stockholders of record on January 31, 2024. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
