Item 1.01

Entry into a Material Definitive Agreement.

As previously disclosed, on November 2, 2022, Flame Acquisition Corp., a Delaware corporation (“Flame”), entered into an Agreement and Plan of Merger, dated as of November 2, 2022 (as it may be amended, supplemented, or otherwise modified from time to time, the “Merger Agreement”), with Sable Offshore Corp., a Texas corporation (“SOC”), and Sable Offshore Holdings, LLC, a Delaware limited liability company and the parent company of SOC (“Holdco” and, together with SOC, “Sable”). Upon the consummation of the transactions contemplated by the Merger Agreement, (i) Holdco will merge with and into Flame, with Flame as the surviving company in the merger (the “Holdco Merger”), and (ii) immediately following the effective time of the Holdco Merger, SOC will merge with and into Flame, with Flame as the surviving in the merger (the “SOC Merger” and, collectively with the Holdco Merger and other transactions contemplated by the Merger Agreement, the “Transactions”).

On June 30, 2023, the parties to the Merger Agreement entered into the Second Amendment to Agreement and Plan of Merger (the “Amendment”) pursuant to which the parties agreed to extend the date by which the parties must consummate the Transactions, or otherwise either Flame or Sable may terminate the Merger Agreement, from June 30, 2023 to March 1, 2024.
