Item 8.01 Other Events.

2023 Annual Stockholders Meeting

Fresh Vine Wine, Inc. (the “Company”) has scheduled its 2023 annual stockholders meeting (the “Annual Meeting”) to be held on Wednesday, December 13, 2023, or at any adjournment or adjournments thereof. Stockholders of record on October 31, 2023, the record date for the Annual Meeting, will be entitled to vote at the Annual Meeting or any adjournments thereof. The time and location of the Annual Meeting will be set forth in the Company’s proxy materials to be filed with the Securities and Exchange Commission and distributed to Company’s stockholders as of the record date.

In accordance with Rule 14a-5(f) promulgated under the Securities Exchange Act of 1934, as amended (the “Exchange Act”), proposals to be considered for inclusion in the Company’s proxy statement for the Annual Meeting pursuant to Rule 14a-8 promulgated under the Exchange Act must be received by the Company at its principal executive offices on or before October 24, 2023. Proposals must also comply with the applicable requirements of Rule 14a-8 of the Exchange Act regarding the inclusion of stockholder proposals in Company-sponsored proxy materials and other applicable laws. The October 24, 2023 deadline will also apply in determining whether notice of a stockholder proposal is timely for purposes of exercising discretionary voting authority with respect to proxies under Rule 14a-4(c)(1) of the Exchange Act.
