    Item 7.01    Regulation FD Disclosure.

    Frontier Group Holdings, Inc. (the “Company”), parent company of Frontier Airlines, Inc. (“Frontier”), is reaffirming its previously issued adjusted (non-GAAP) loss per share guidance for the second quarter of 2025 as originally disclosed in connection with the Company's earnings release issued May 1, 2025, ahead of an upcoming investor conference on May 22, 2025. As anticipated by the previously issued guidance, the update reflects the continuation of stable travel demand following the disruption to demand in March and April, and revenue trends which support the expectation underlying the Company's estimate of positive revenue per available seat mile (“RASM”) stage length adjusted to 1,000 miles, a non-GAAP measure, in the second quarter 2025 on lower capacity, both compared to the corresponding prior year quarter.

    During management’s conference call with analysts on May 1, 2025, Barry Biffle, Chief Executive Officer, commented on recent demand trends, noting that, although macro uncertainty remained, booking trends observed at that time suggested May and early summer demand had stabilized. For the month-to-date period ended May 18, 2025, load factors were slightly higher while RASM stage length adjusted to 1,000 miles, a non-GAAP measure, was up low single-digits on a percentage basis compared to the corresponding prior year period, in line with the Company's expectations, and similar increases are expected for the balance of May. Average stage length in the second quarter of 2025 is expected to be approximately four percent higher compared to the corresponding prior year period.

    While macro uncertainty remains, booking activity over the last few weeks supports the second quarter guidance previously provided. Management continues to target a return to profitability in the second half of 2025 supported by moderating industry capacity, the leverage from the Company's commercial investments and continued close management of the elements of the business within the Company's control, including capacity optimization and aggressive cost and capital expenditure management.

    Capacity plans for the remainder of 2025 are unchanged from previous projections issued on May 1, 2025, and are expected to be down low single-digits on a percentage basis compared to the corresponding prior-year period, with reductions focused on off-peak days of the week.

    Non-GAAP Financial Measures

    Adjusted earnings (loss) per share is included as a supplemental disclosure because the Company believes it is a useful indicator of operating performance. Derivations of net income are well-recognized performance measurements in the airline industry that are frequently used by management, as well as by investors, securities analysts and other interested parties in comparing the operating performance of companies in the industry.

    Adjusted earnings (loss) per share has limitations as an analytical tool. Adjusted earnings (loss) per share does not reflect the impact of certain cash charges resulting from matters the Company considers not to be indicative of ongoing operations and does not reflect the cash expenditures, or future requirements, for capital expenditures or contractual commitments, and other companies in the industry may calculate Adjusted earnings (loss) per share differently than the Company does, limiting its usefulness as a comparative measure. Because of these limitations, Adjusted earnings (loss) per share should not be considered in isolation from or as a substitute for performance measures calculated in accordance with GAAP. In addition, because derivations of adjusted net income are not determined in accordance with GAAP, such measures are susceptible to varying calculations and not all companies calculate the measures in the same manner.
