Item 8.01.

Other Events

As previously disclosed, FTS International, Inc. (the “Company”) entered into an Agreement and Plan of Merger, dated October 21, 2021 (the “Merger Agreement”) with ProFrac Holdings, LLC (“Parent”) and ProFrac Acquisitions, Inc., a wholly owned subsidiary of Parent (“Merger Sub”). Upon the terms and subject to the conditions of the Merger Agreement, Merger Sub will merge with and into the Company (the “Merger”), with the Company surviving as a wholly owned subsidiary of Parent.

The completion of the Merger is conditioned upon, among other things, the early termination or expiration of any applicable waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the “HSR Act”), relating to the consummation of the Merger. The applicable waiting period under the HSR Act with respect to the Merger expired at 11:59 p.m., Eastern Time, on December 6, 2021.

The completion of the Merger remains subject to other customary closing conditions, including the adoption of the Merger Agreement by the Company’s stockholders (and, unless the Company has waived such condition, the adoption of the Merger Agreement by holders of a majority of the outstanding shares of common stock of the Company other than those held by Parent and its affiliates). The Company continues to expect the Merger to close in the first quarter of 2022, subject to the satisfaction of applicable closing conditions.
