Item 7.01 Regulation FD

On August 1, 2025, Fundamental Global Inc. (the “Company”) issued a press release announcing the Company’s formation of the FG CVR Trust, a Delaware Statutory Trust, (the “FG CVR Trust”) and the planned transfer the Company’s legacy non-core assets to the FG CVR Trust (the “Press Release”). The Press Release provided, further, that the Company’s common shareholders of record as of August 8, 2025 will receive a non-transferable Contingent Value Right (CVR) entitling holders to distributions generated from the assets transferred to the FG CVR Trust. A copy of the Press Release is attached hereto as Exhibit 99.1 and incorporated into this Item 7.01 by reference.
