Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 22, 2021, Gino Dellomo resigned from the board of directors (the “Board”) of Funko, Inc. effective January 3, 2022. Mr. Dellomo had been previously designated for appointment to the Board by ACON Funko Investors, L.L.C. Mr. Dellomo’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operation, policies or practices.
