Explanation of Responses:

1. On May 24, 2024, the reporting person received a grant of 115,000 restricted stock units ("RSUs") under the Issuer's 2023 Omnibus Incentive Plan, with each RSU representing a contingent right to receive one ordinary share of the Issuer. The RSUs vest as follows: 38,333 on November 21, 2024, 38,333 on November 21, 2025 and 38,334 on November 21, 2026.
