Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 3, 2025, Alex Kisin informed Gaxos.ai Inc. (the “Company”) that he will be resigning from the Company’s Board of Directors (the “Board”) as well as the Company’s audit committee, compensation committee and nominating and corporate governance committee effective immediately. Mr. Kisin’s resignation was not the result of any disagreement with the Company, any matter related to the Company’s operations, policies or practices, the Company’s management or the Board.
On March 3, 2025, the Company appointed Roman Feldman as a member of the Board to fill the vacancy created by Mr. Kisin’s resignation from the Board. In addition, effective as of March 3, 2025, Mr. Kisin was appointed as a member of the Company’s compensation committee and nominating and corporate governance committee and audit committee. Mr. Feldman will serve for a term expiring at the next annual meeting of shareholders in 2025.
