Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 9, 2023, Dr. George Margelis, a member of the Board of Directors (the “Board”) of Intelligent Bio Solutions Inc. (the Company”), and a member of the Audit Committee of the Board (the “Audit Committee”), resigned as a member of the Board effective as of such date. Dr. Margelis’ resignation was not a result of any disagreement with the Company on any matter relating to Company’s operations, policies or practices.

Current independent director Jonathan Hurd was appointed by the Board to serve on the Audit Committee following Dr. Margelis’ resignation.
