Explanation of Responses:

1. The Reporting Person gifted 108,000 shares of Issuer common stock to various family members of which 72,000 shares remained in the Reporting Person's indirect ownership. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.

2. The Reporting Person is part of a control group consisting of family members of the Reporting Person. Shares of Issuer common stock were gifted to family members of people within the control group, which resulted in a decrease of 72,000 shares of Issuer common stock to the control group. The Reporting Person disclaims beneficial ownership of such shares of Issuer common stock, except to the extent of the Reporting Person's pecuniary interest therein.
