Once the Form S-3 is declared effective and subject to certain rules and regulations of the New York Stock Exchange ("NYSE") and SEC, the Company may offer and sell from time to time shares of common stock, shares of preferred stock, debt securities, warrants, rights or any combination of those securities, either individually or in units. GEE Group may also offer common stock or preferred stock upon conversion of debt securities, common stock upon conversion of preferred stock, or common stock, preferred stock or debt securities upon the exercise of warrants, or rights to purchase common stock or other securities, in an aggregate total amount of up to $100 million for all debt and equity securities issued, in one or more transactions under a prospectus or prospectus supplement.
