Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 6, 2023, Mr. Elliot Maltz, the Chief Financial Officer, Treasurer, Chief Compliance Officer and Corporate Secretary (and principal financial and accounting officer) of Gelesis Holdings, Inc. (the “Company”), resigned from all positions he held with the Company, effective August 15, 2023, to accept a position with another company. The resignation was not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
