Item 7.01 – Regulation FD Disclosure
On December 10, 2024, Gen Digital Inc., a Delaware corporation (“Parent”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Maverick
Group Holdings, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), and MoneyLion Inc., a Delaware corporation (“MoneyLion”), providing for the merger of Merger Sub with and into MoneyLion (the “Merger”), with
MoneyLion surviving the Merger as a wholly owned subsidiary of Parent.
The information required to be reported on Form 8-K with respect to the Merger Agreement and the full text of the Merger Agreement will be filed in a separate
Current Report on Form 8-K as soon as practicable.
On December 10, 2024, Parent and MoneyLion issued a joint press release announcing the parties’ entry into the Merger Agreement. A copy of the joint press
release is attached hereto as Exhibit 99.01 and is incorporated herein by reference. Additionally, Parent posted to its website an investor presentation describing the transactions related to the Merger Agreement, a copy of which is attached as
Exhibit 99.02 and is incorporated herein by reference.
