Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 7, 2022, Jennifer L. Zoldos notified Gentherm Incorporated (the “Company”) of her decision to resign as Chief Accounting Officer (“CAO”), effective July 31, 2022 (the “Separation Date”). Ms. Zoldos will continue to perform her duties as CAO until that date. Ms. Zoldos’ decision to resign is not related to or the result of any dispute or disagreement on any matter related to the Company’s operations, policies, or practices.

Effective the Separation Date, Matteo Anversa, Chief Financial Officer, will assume the role of principal accounting officer until the Company identifies Ms. Zoldos’ successor. No new compensatory arrangements were entered into with Mr. Anversa in connection with his planned role as interim principal accounting officer.
