    Item 7.01

    Regulation FD Disclosure.

    On January 29, 2026, Gentherm Incorporated, a Michigan corporation (“Gentherm”), issued a press release announcing its plan to combine the Performance Technologies business of Modine Manufacturing Co., a Wisconsin corporation (“Modine”), with Gentherm (the “Proposed Transaction”). A copy of the press release is attached hereto as Exhibit 99.1. The press release also announced that Gentherm will be hosting a conference call and webcast at 8:00 a.m., Eastern Time, on January 29, 2026, to discuss the Proposed Transaction. The presentation to be used during the conference call and webcast is attached hereto as Exhibit 99.2.
