Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 15, 2024, Mr. Sergio Aguirre announced his retirement from his role as the President and Chief Operating Officer of Gogo Inc. (the “Company”) effective December 31, 2024. In connection with his departure, Mr. Aguirre will enter into a Consulting and Separation Agreement with the Company (the “Aguirre CSA”), pursuant to which he will agree to provide certain consulting services in connection with the completion and integration of the acquisition of Satcom Direct Holdings, Inc. and related transactions until June 30, 2025.
Pursuant to the Aguirre CSA, Mr. Aguirre will continue to receive his existing base salary from the effective date of his resignation through June 30, 2025. Thereafter, Mr. Aguirre will be entitled to receive certain customary severance payments equal to 12 months of his existing base salary.
