On May 6, 2022, in light of ongoing developments impacting The Greenrose Holding Company Inc. (“Greenrose” or the “Company”) business projections, Greenrose issued an updated presentation (the “Investor Presentation”) included as Exhibit 99.1 hereto and incorporated by reference into this Item 8.01.

Greenrose provides the Investor Presentation as an update to, and replacement of, the Investor Presentation furnished by the Company as an exhibit to a Current Report on Form 8-K dated January 27, 2022.

The Investor Presentation includes financial information not prepared in accordance with generally accepted accounting principles.
