Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On July 7, 2022, the articles of organization of GTY Technology Holdings Inc., a Massachusetts corporation (the “Company”), were amended and restated in their entirety. A copy of the amended and restated articles of organization of the Company is attached hereto as Exhibit 3.1 and is incorporated herein by reference.
