Submission of Matters to a Vote of Security Holders.

On June 4, 2025, Gyre Therapeutics, Inc. (the “Company”) held its 2025 Annual Meeting of Stockholders (the “Annual Meeting”). As of the close of business on April 10,
2025, the record date for the Annual Meeting, there were 93,742,602 shares of common stock entitled to vote at the meeting.
At the Annual Meeting, each of the Company’s director nominees was elected and the other proposals voted on were approved. The proposals are described in the Company’s
definitive proxy statement filed with the U.S. Securities and Exchange Commission on April 21, 2025. The final voting results are set forth below.
