Item 1.01

Entry into a Material Definitive Agreement.

On April 12, 2023, Hasbro, Inc. (the “Company”) and its subsidiary Hasbro SA entered into a First Amendment to the Second Amended and Restated Revolving Credit Agreement (the “First Amendment to the Credit Agreement”) with Bank of America, N.A., as administrative agent, swing line lender, a letter of credit issuer and a lender and certain other financial institutions, as lenders and letter of credit issuers (the “Credit Agreement”). The First Amendment to the Credit Agreement amends the Credit Agreement to replace the London InterBank Offered Rate “LIBOR” with the Secured Overnight Financing Rate “SOFR” as the interest rate benchmark.

On April 12, 2023, the Company also entered into a First Amendment to the Term Loan Agreement (the “First Amendment to the Term Loan Agreement”) with Bank of America, N.A., as administrative agent, and certain financial institutions, as lenders (the “Term Loan Agreement”). The First Amendment to the Term Loan Agreement amends the Term Loan Agreement to replace the London InterBank Offered Rate “LIBOR” with the Secured Overnight Financing Rate “SOFR” as the interest rate benchmark.
