Explanation of Responses:

1. This Amendment to Form 4 is being filed to reflect the cancellation of a grant of 7,468 shares of common stock reported to have occurred on May 24, 2023, as such grant was invalid due to an administrative error and should not have occurred. No actual shares were issued as all directors elected to defer the receipt of their annual grant through the Director Deferred Stock Compensation Plan, such that the cancellation involved reversing the credited shares to their respective deferred compensation accounts.
