Explanation of Responses:

1. Shares are directly owned by the Marshall R. Bernes Family Trust ("Family Trust"). The Reporting Person is the settlor and a co-trustee of the Family Trust and, in such capacity, may be deemed to indirectly beneficially own the securities owned by the Family Trust.

2. Shares are directly owned by the Marshall R. Bernes, M.D., Inc. Profit Sharing Plan ("PSP"), a retirement trust for which the Reporting Person serves as a trustee. The Reporting Person disclaims beneficial ownership of the securities owned by the PSP, except to the extent of his pecuniary interest in the PSP. The inclusion of these shares in this report shall not be deemed an admission of beneficial ownership of the reported shares for purposes of Section 16 or for any other purposes.
