Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
Effective August 2, 2024, Mr. Michael Donovan, Chief Operating Officer of Smith Transport, retired. In recognition of Mr. Donovan's service, the Compensation Committee awarded Mr. Donovan 26,261 shares of common stock. Heartland Express, Inc. would like to thank Mr. Donovan for his service and leadership to Smith Transport during his tenure.
