On January 8, 2025, HF Sinclair Corporation (the “Corporation”) issued press releases announcing (i) the pricing of $650,000,000 aggregate principal amount of its 5.750% Senior Notes due 2031 and $750,000,000 aggregate principal amount of its 6.250% Senior Notes due 2035 and (ii) that it is increasing the aggregate purchase price (the “Maximum Aggregate Purchase Price”) of its previously announced cash tender offer to up to $1,050,000,000 (excluding accrued interest), from the previously announced Maximum Aggregate Purchase Price of $900,000,000. Copies of the Corporation’s press releases are furnished with this Current Report on Form 8-K as Exhibit 99.1 and Exhibit 99.2 and incorporated into this Item 7.01 by reference.
