Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 27, 2025, the Compensation and Human Capital Committee of the Board of Directors of HomeTrust Bancshares, Inc. (the “Company”) approved the adoption of a new non-qualified deferred compensation plan for the Company (the "New Plan"), effective April 1, 2025. The Company’s existing non-qualified deferred compensation plan was frozen to new deferrals effective December 31, 2024. The New Plan allows directors and eligible senior management personnel (including executive officers) of the Company to elect to defer receipt of current compensation until a later date in accordance with the terms of the New Plan. A participant’s New Plan account will be credited with an investment return determined as if the account were invested in one or more investment funds made available by the committee administering the New Plan, with the participant selecting the deemed investment option(s).
The New Plan is intended to comply with Section 409A of the Internal Revenue Code and to provide participants with an opportunity to defer taxes on compensation until such amounts are paid out in accordance with the provisions of the New Plan.
