Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2025, Eva Bellissimo tendered notice of her intent to resign from the Company’s Board of Directors effective as of October 31, 2025. Ms. Bellissimo’s pending resignation is not the result of any disagreements between Ms. Bellissimo and the Company relating to the Company’s operations, policies, or practices.

On October 23, 2025, the Company issued a press release announcing the resignation of Eva Bellissimo from the Board. A copy of the press release is furnished as Exhibit 99.1 to this report and incorporated herein by reference.
