Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 9, 2022, Mr. Westley Moore informed IAC Inc. (the “Company”) that he was resigning from the Company’s Board of Directors, effective immediately. Mr. Moore’s decision to resign was due to his successful election as Governor of the State of Maryland and was not the result of any disagreement between him and the Company.
