Item 5.02. Compensatory Arrangements of Certain Officers

On February 23, 2023, the Compensation Committee (the “Compensation Committee”) of the Board of Directors (the “Board”) of ImmuCell Corporation (the “Company”), pursuant to the authority delegated to the Compensation Committee by the Board, granted a discretionary cash bonus of $25,000 to Bobbi Jo Brockmann, the Company’s Vice President of Sales and Marketing, to be paid on March 1, 2023.
