Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 6, 2025, Barry P. Flannelly, Executive Vice President, General Manager, North America of Incyte Corporation (the “Company”), announced his retirement from the Company and stepped down from that role on that date, effective with the commencement of employment of his successor. Dr. Flannelly will remain employed by the Company through July 31, 2025 to assist with the transition of his responsibilities.
