On May 29, 2025, Infinity Natural Resources, LLC, a Delaware limited liability company (“INR Holdings”), a subsidiary of Infinity Natural Resources, Inc. (the “Company”), entered into that certain Second Amendment to Credit Agreement (the “Amendment”), which amends that certain Credit Agreement, dated as of September 25, 2024, by and among INR Holdings, the lenders from time to time party thereto and Citibank, N.A., as the administrative agent, collateral agent and an issuing bank (as previously amended, the “Existing Agreement” and, as amended by the Amendment, the “Credit Agreement”).
The Amendment, among other things, amends certain provisions relating to hedging requirements and restrictions in the Credit Agreement.
The description of the Amendment does not purport to be complete and is subject to, and qualified in its entirety by reference to, the Amendment, a copy of which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
