This Current Report on From 8-K/A of Innoviva, Inc. (the “Company”) amends the Company’s Current Report on Form 8-K dated April 29, 2022 and filed with the Securities and Exchange Commission on May 2, 2022 (the “Original Filing”) to correct a typographical error referring to the vesting date for the first 25% of the options granted to Mr. Raifeld on May 2, 2022 (the “Options”). The first 25% of the Options will vest on May 20, 2023.

Except as described herein, no other changes have been made to the Original Filing.
